Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Recoverly (the “Service”), operated by tarofu Studio based in Japan. By creating an account or connecting your Stripe account, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Recoverlyhelps subscription businesses find and recover revenue lost to failed card payments. It audits the Stripe account you connect for failed invoices and other revenue leaks, and — only for cases you approve — sends payment-update emails to the affected customers linking to Stripe-hosted payment pages, then verifies the outcome. The Service does not initiate charges or payment retries on your customers’ payment methods.

2. Eligibility and accounts

You must be able to form a binding contract and be authorized to act for the business whose Stripe account you connect. You are responsible for the activity that happens under your account and for keeping your login credentials secure.

3. Connecting Stripe

The Service connects to Stripe using Stripe Connect (OAuth). By connecting, you authorize Recoverlyto read payment, invoice, and subscription data on your connected account, and to send payment-update emails on your behalf for the cases you approve. The Service does not charge or retry your customers’ payment methods. You can disconnect at any time from your settings, which revokes our access.

4. Your responsibilities to your customers

• You are the controller of your customers’ data. You are responsible for having a lawful basis for us to contact them about their unpaid invoices on your behalf.
• Every payment-update email includes an unsubscribe link. You must not remove it or use the Service to send unsolicited or unlawful messages.
• You are responsible for your own pricing, tax, and the underlying contracts with your customers.

5. Acceptable use

You agree not to misuse the Service, including attempting to access other tenants’ data, reverse engineering, overloading the system, or using it for fraudulent charges or any unlawful purpose.

6. Fees and billing

• The free plan includes your first audit (results viewable for 7 days) and your top recovery case. No card is required.
• Paid plans are billed monthly in USD in advance through Stripe, starting when you subscribe. There is no free trial; the free plan lets you evaluate the Service before paying. Plan features are described on our pricing page.
• 45-day guarantee: if the Direct Revenue verified by the Service within 45 days of your paid playbook going live is less than one month’s fee, we will refund your first month. Assisted revenue is not counted.
• You can cancel at any time. See our Refund & Cancellation Policy for details.

7. No guarantee of recovery

Payment recovery depends on factors outside our control, including your customers’ banks and card status. We do not guarantee that any specific amount, or any payment, will be recovered.

8. Service availability

We work to keep the Service available but provide it on an “as is” and “as available” basis without warranties of any kind, to the extent permitted by law. We may modify or discontinue features over time.

9. Limitation of liability

To the maximum extent permitted by law, tarofu Studio will not be liable for any indirect, incidental, or consequential damages, or for lost revenue or profits. Our total liability for any claim relating to the Service is limited to the amount you paid us in the three months before the event giving rise to the claim.

10. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate access if you breach these Terms or use the Service in a way that creates risk or legal exposure.

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, notify you. Continued use after changes means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of Japan, without regard to conflict of law rules.
